Legal (LEG) is the competence unit for all legal matters related to the Statoil group’s business areas and corporate activities and consist of legal experts, specialists, consultants, and qualified support personnel. The department has overall responsibility for advising on all legal matters and on ethics and anti-corruption compliance, undertaking Integrity Due Diligence research and acting as the Corporate Bodies’ secretariat within the Statoil group.
This position will offer challenging tasks involving LEG’s responsibility with regards to the Marketing, Midstream and Processing business unit, related to Statoil’s activities in North and South America. There will be considerable time dedicated to:
Negotiation and drafting of contracts and documentation related to spot and term purchase and sales transactions for crude oil, refined petroleum products, natural gas liquids and natural gas transactions (ISDA Master Agreements, NAESB frame agreements, term purchase/supply agreements, storage agreements, pipeline and railcar transportation agreements, payment netting agreements, parent company guarantees and letters of credit);
Drafting and negotiating confidentiality and non-disclosure agreements and joint venture agreements;
Advising trading units with regards to transactional matters;
Close interaction with the following departments: trading desks, credit, operations, risk control, business development, tax and senior management;
Assist in preparing regulatory filings with EPA, CFTC, FERC, DOE, USCG and state regulatory agencies;
Advise senior management and commercial staff in connection with federal and state regulatory matters;
Prepare formal comments in response to proposed rulemakings from federal and state agencies;
Business development opportunities for the trading units; and general legal support as required.
In addition to these operational matters, there will be exposure to other legal and corporate matters including:
Implementation of corporate directives and governing documents;
Engaging and directing US outside counsel when necessary;
Regulatory affairs, including interaction with various industry trade associations; and general corporate legal assignments.
The position will report to Managing Counsel – LEG MMP NA.
Experience and legal competence within the laws and regulations affecting the wholesale marketing and transportation (both waterborne and onshore via pipeline, truck or train) of crude oil, refined petroleum products and gas liquids in North America, South America and the Caribbean, with an emphasis on the U.S.;
7 - 10 years of reevant experience preferred
Experience and insight in how the Marketing, Midstream and Processing business unit conducts its activities and operates its projects;.
Competence in the regulation of both exchange traded and OTC derivatives used for price discovery and hedging purposes;.
Excellent contract negotiation and drafting skills;.
Knowledge and understanding of administrative law;.
Competence within the area of Corporate Governance;.
Competence within the area of Compliance/Anti-Corruption legislation and Statoil’s internal procedures and guidelines;.
Juris Doctor and licensed to practice law. In addition, if applicant is not licensed by the State of Connecticut Bar upon hiring, applicant will be expected to register as Authorized House Counsel with the State of Connecticut Bar subsequent to hire .Juris Doctor and licensed to practice law.
